1. Overview & Scope

ChainBridge-Investments ("ChainBridge", "we", "us", "our") operates the website at https://chainbridge-investments.com and provides a crypto investment platform that allows users to deposit and manage cryptocurrency directly from their non-custodial wallets (e.g., MetaMask, Phantom, TrustWallet, Rabby). We support the following blockchain networks: Ethereum (ETH), Binance Smart Chain (BSC), Solana (SOL), and Polygon (MATIC).

CRITICAL NOTE: We never take custody of your funds. All deposits, investments, and withdrawals are executed via smart contracts on the respective blockchains. You retain full control of your private keys at all times. We cannot access, reverse, or recover any blockchain transaction once confirmed.

These Terms & Conditions ("Terms") govern your access to and use of the ChainBridge platform, website, and any associated services (collectively, the "Services"). These Terms incorporate our Privacy Policy by reference.

2. Eligibility & Restricted Persons

By using our Services, you represent and warrant that:

• You are at least 18 years of age (or the age of majority in your jurisdiction of residence).
• You have the full legal capacity to enter into a binding agreement.
• You are not a resident of, located in, or accessing the Services from any jurisdiction where the use of cryptocurrency investment platforms is prohibited or restricted by applicable law.
• You are not a person or entity subject to economic or financial sanctions administered by the United Nations, United States (OFAC), European Union, United Kingdom, or any other applicable sanctions authority.
• You are not listed on the Specially Designated Nationals (SDN) List or any similar sanctions list.
• You are not a resident of or accessing the Services from: United States, China, North Korea, Iran, Syria, Crimea, Cuba, or any other jurisdiction we may designate as restricted.

If you are a Restricted Person, you are strictly prohibited from accessing or using our Services. Use of a VPN or other anonymization technology to circumvent these restrictions is strictly prohibited and may result in immediate termination and forfeiture of any rewards or points.

3. Wallet Connection & Account Responsibility

To use our Services, you must connect a compatible non-custodial wallet (the "Connected Wallet"). You are solely responsible for:

• The security and confidentiality of your wallet's private keys, seed phrases, and passwords.
• All transactions initiated from your Connected Wallet, whether authorized by you or not.
• Maintaining accurate and up-to-date information associated with your wallet.
• Ensuring that you have sufficient funds or allowances to complete transactions on the supported blockchains.

We are not responsible for: Lost private keys, compromised wallets, unauthorized access to your wallet, transactions sent to incorrect addresses, or any losses resulting from your failure to secure your wallet. Blockchain transactions are irreversible – once confirmed, they cannot be undone.

4. Investment Plans & Smart Contracts

We offer various investment plans ("Plans") that are executed via audited smart contracts on the Ethereum, BSC, Solana, and Polygon blockchains. By depositing funds into any Plan:

• You acknowledge that your funds will be locked in the smart contract for the duration specified in the Plan.
• You understand that returns are calculated algorithmically based on the Plan's parameters and market conditions.
• You accept that all deposits and withdrawals are subject to blockchain network conditions, including gas fees and confirmation times.
• You agree that we do not guarantee any specific return – all investments carry risk, including the potential loss of principal.

Supported Blockchains for Deposits:

• Ethereum (ETH): ERC-20 tokens (USDT, USDC, DAI, ETH, etc.)
• Binance Smart Chain (BSC): BEP-20 tokens (USDT, BUSD, BNB, etc.)
• Solana (SOL): SPL tokens (USDC, SOL, etc.)
• Polygon (MATIC): MATIC, USDC, USDT, DAI, etc.

5. Rewards, Points, and Airdrops

We may, from time to time, offer rewards, points, or airdrop programs to eligible users ("Rewards"). You acknowledge and agree that:

• Rewards have no monetary value until and unless distributed by us or our affiliates.
• Points or other indicators of eligibility are not property, currency, or a financial instrument.
• We may modify, suspend, or terminate any Rewards program at any time without prior notice.
• Rewards are non-transferable and cannot be sold, exchanged, or traded except as expressly permitted.
• We reserve the right to claw back or void Rewards obtained through fraud, abuse, multiple accounts, or violation of these Terms.

6. Code of Conduct & Prohibited Activities

You agree not to engage in any of the following prohibited activities:

6.1 Prohibited Transactions & Manipulation

• Market Manipulation: Wash trading, spoofing, layering, front-running, or any activity intended to artificially influence prices or create false volume.
• Exploitation: Taking advantage of system errors, delays, pricing mistakes, or any vulnerability in our smart contracts or website.
• Sybil Attacks: Creating multiple accounts or wallets to circumvent limits, farm rewards, or manipulate referral programs.
• Arbitrage Abuse: Engaging in excessive arbitrage that disrupts normal platform operations.

6.2 Technical Abuse

• Introducing malware, viruses, Trojan horses, worms, logic bombs, or other harmful code.
• Attempting to reverse-engineer, decompile, disassemble, or derive source code from our website or smart contracts.
• Launching DoS or DDoS attacks against our infrastructure.
• Circumventing any geographical restrictions, IP blocking, or security measures (including VPN/proxy use to hide prohibited locations).
• Scraping or harvesting data from our website without permission.

6.3 Legal & Financial Crimes

• Money laundering, terrorist financing, or sanctions evasion.
• Fraud, misrepresentation, or impersonation of any person or entity.

7.2 Technical & Blockchain Risk

• Smart Contract Vulnerabilities: Despite auditing, smart contracts may contain bugs or exploits that could result in loss of funds.
• Network Congestion & Fees: High gas fees or network delays may affect transaction timing and profitability.
• Fork Risks: Blockchain forks could affect the value or usability of deposited assets.
• Wallet Security: Loss or theft of private keys results in permanent, irreversible loss of funds – we cannot recover them.
• Bridge Exploits: Cross-chain bridges (if used) have historically been targets for major hacks.

7.3 Regulatory Risk

• Legal Uncertainty: Cryptocurrency regulations vary by jurisdiction and may change rapidly, potentially affecting your ability to use our Services.
• Tax Liability: You are solely responsible for understanding and complying with tax obligations related to your investments.
• Sanctions Risk: We may be required to block wallets associated with sanctioned addresses without prior notice.

All content, design, graphics, logos, trademarks, smart contract code, and other materials on our website are the exclusive property of ChainBridge-Investments or its licensors. You may not:

• Any transaction initiated from your wallet, whether authorized by you or not.

12. Suspension & Termination

We reserve the right to suspend, limit, or terminate your access to the Services at any time, without prior notice, for any reason, including but not limited to:

• Violation of these Terms or any applicable law.
• Suspected fraud, market manipulation, or prohibited trading activity.
• Security concerns or suspected unauthorized access.
• Legal or regulatory requirements, including sanctions compliance.
• Extended inactivity (12+ months without login).

Upon termination, you remain responsible for all obligations incurred prior to termination. We are not obligated to refund any fees or return any funds lost due to market movements.

13. Governing Law & Dispute Resolution

13.1 Governing Law

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the British Virgin Islands (BVI), without regard to conflict of law principles.

13.2 Binding Arbitration

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive the right to participate in any class action lawsuit.

Any claim arising out of these Terms must be filed within one (1) year after the claim arose, or it is permanently barred.
